 Constitution

1.  Name

The name of the Club is “The Shepshed and District Camera Club”.

2.  Location

The Club is located in the Town of Shepshed, Leicestershire, and is intended to benefit the people of Shepshed and other surrounding towns and villages within reasonable travelling distance.  
All visitors are welcome as outlined in item 4.part c).      

3.  Object

The object of the Club is the furtherance of photographic interests and techniques through the exchange of ideas and lectures etc.

4.  Membership

a)    Membership is open to any person interested in or practising photography.

b)    Anyone may apply for membership of the Club and if accepted for membership will be bound by the Club rules.  Membership is subject to approval by the Committee.

c)     Attendance at some club meetings may be offered to non-members at a stated fee. All non-members will be required to pay this fee. For all other meetings, members will be entitled to bring prospective members or other guests.  This will be limited to four visits per guest (excluding social events) per year.

d)    Members under the age of eighteen must at all meetings and events, social or otherwise, be accompanied by a parent or guardian.

e)    Members who become unable to participate in club meetings and who have been members for at least the past five years may apply for associate membership on retirement from membership. Associate membership permits past members who have made a significant contribution to the club to remain in contact with the club.  Associate members do not pay subscriptions; they receive all emails sent to members and may participate in club social events and occasional club meetings.  They may also participate in the club’s e-group but may not enter club competitions.  Associate members have no voting rights. The award of associate membership is at the discretion of the committee .

5.  Termination of Membership

Any member or associate member may have his or her membership terminated by the committee if, in its opinion, the member has brought the club into disrepute or whose behaviour is deemed by the committee to be unreasonable.

The member shall have the right of appeal against termination of membership of the club.  Any request for the holding of a Special General Meeting shall be in writing, addressed to the Secretary, and shall be supported by two other members.

After hearing the appeal the Special General Meeting may reinstate membership provided there is a majority vote of the members present.

6.  Subscriptions

a)    The members at the Annual General Meeting or a Special General Meeting shall agree subscription rates.

b)    Subscriptions will become due on the date of the first meeting of each season, which is usually in mid September.

c)    Membership of the Club shall cease if subscriptions are not paid one month from this date.

d)    Membership may be renewed at the discretion of the Committee, and on full receipt of subscriptions or by agreement with the committee in cases of special circumstances.

e)    In the event of the committee refusing to renew membership there shall be the right of appeal as detailed in 5 above.

7.  Officers

The officers of the Club are Chairman, Secretary and Treasurer.  They are elected at the Annual General Meeting for a term of two years.

8.  Committee

The committee is the officers of the Club and three other elected members managing the affairs of the Club.

These other members are elected at the Annual General Meeting for a term of two years and assume the responsibilities of Programme Secretary, Competition Secretary and Social Secretary.

Members may offer themselves for re-election at the end of their terms of office.

The Committee has the power to make day-to-day decisions concerning the running of the Club but the following matters will only be decided at the Annual general Meeting or a Special General Meeting.

a)    Changes in the constitution of the Club.

b)    Capital expenditure exceeding £500 on any one item or at any one time.

c)    A decision to wind up the Club.

In the event of anything occurring not provided for, or not clear in the foregoing, the Committee shall have the authority to deal with it at its discretion.

The Competition Secretary is backed up by an Assistant Competition Secretary, who will carry out Competition Secretary duties when necessary, e.g. on competition nights when the Competition Secretary is unavailable.  The Assistant Competition Secretary may attend  committee meetings but does not have voting rights.

9.  Annual General Meeting

An Annual General Meeting is held at the end of every season, usually in early September, one week before the first meeting of the new season, and the business includes: 

a)    Minutes of the previous Annual General Meeting.

b)    Report by the Chair.

c)    Statement of accounts for the previous financial year (1 September to 31 August).

10.  Special General Meetings

Special General Meetings can be called by a minimum of three members when necessary but shall be for a specific purpose and only business appearing on the notice of such meetings will be discussed at them.

Two weeks’ notice of such meetings must be given to all members.

11.  Meetings

Meetings will be held, generally, on Tuesday nights at the Council Offices, 47a Charnwood Road, Shepshed, or any other venue, which will be notified to all members in advance.

12.  Finances

a)    The funds of the Club are applied as follows:

Firstly to pay the club’s room hire for its meetings.
Secondly to cover any expenses incurred in running the Club. 
Thereafter towards providing any equipment, materials, trophies or other items appropriate to the activities of the Club.

b)    Any withdrawals from the Club’s account(s) shall require two signatories from the Chairman, Secretary or Treasurer.

13.  Assets and Equipment

a)    The capital assets and equipment of the Club belong to the paid up members for the time being of the Club, and any member retiring from, or leaving the Club, for any reason whatsoever, shall not be entitled to claim, or be paid, any sum in respect of their interest in the Club.

b)    In the event of the Club being wound up the assets and equipment shall either be donated to other groups associated with the Charnwood Road Community Centre, or sold and the net proceeds of the sale, the balance of funds held in the bank account and any petty cash shall be given to the Shepshed Town Council to distribute to other local clubs and community groups, as it sees fit.
